My firm specializes in business planning and counselling, securities, commercial transactions, and real estate transactions. Examples of my work include: representing the owner of an international mining concern (NYSE listed) on major domestic and international milling facility design and construction contracts and related mining arrangements; successfully concluded numerous transnational investment transactions (e.g. inbound venture capital); buying, selling and financing real estate projects; performing due diligence investigations; preparing securities prospectuses and private placement memoranda. My clients are owners and operators of a variety of businesses, large and small (e.g. construction, real estate, retail stores, restaurants and bars, manufacturing, medical research, computer software, publishing, licensing, financial services, electronics, diverse high technology related concerns, telecommunications, mining, oil and gas). I have also implemented several programs for the protection of trade secrets and proprietary information, including the use of trade secrecy programs, non-competition and non-solicitation arrangements, and shop right agreements.

In addition, I am general counsel to Government Leasing Company an equipment leasing company specializing in leases of tangible and intangible personal property and fixtures to federal, state and local governmental entities, utilizing both taxable and tax exempt structures.

Prior to forming my own firm, at a law firm I was one of two partners in charge of the commercial and corporate law departments, including the firm's securities and real estate transactional practices. I represented issuers in tax shelter offerings of debt and equity, and represented broker-dealers generally and on debt and equity underwritings. I spent a significant part of my time on real estate, health care, and high technology related transactional work (e.g., evaluating business transactions, devising the best legal structure, preparing the contracts, and consummating the transactions). In addition to my work for clients, I established and chaired the professional responsibility/ethics committee of the firm (which had 18 attorneys and several paralegals) which committee was charged with analyzing issues involving professional responsibility and ethics. I served as securities counsel to issuers and underwriters in public offerings and private placements and performed transactional and related securities work for "reporting companies." Transactions ranged from venture capital financings through initial public offerings to work for companies listed on the NYSE I was lead counsel in transactions involving hundreds of millions of dollars (e.g. the formation and financing of the Pyro Mining Venture). In 1982, I left the firm to join its senior tax partner to work on hundreds of millions of dollars of tax indemnification insurance underwritten through syndicates at Lloyd's of London for specially legislated tax leases (TBT "Safe Harbor" leases) for a newly founded firm in Washington, D.C.
